These Affiliate Program Terms and Conditions (“Affiliate Terms”) govern participation in the Midnight Molecule Affiliate Program operated by Midnight Molecule LLC (“Midnight Molecule,” “we,” “us,” or “our”).
By applying for or participating in the Affiliate Program, you agree to these Affiliate Terms.
Participation in the Midnight Molecule Affiliate Program is subject to approval.
Applicants must be at least 21 years of age and provide complete and accurate information during the application process.
Midnight Molecule reserves the right to approve or reject any application at its discretion.
Approval into the Affiliate Program does not create an employment, agency, partnership, joint venture, or franchise relationship.
Approved affiliates receive a standard commission of 10% on eligible qualifying purchases attributed to their unique affiliate link or code.
Commission rates may be changed or individually adjusted by Midnight Molecule. Certain affiliates may be offered promotional or performance-based commission rates.
Commission is calculated on the eligible product subtotal after discounts and excludes shipping charges, taxes, refunds, credits, and other non-product charges.
The Affiliate Program uses a 30-day tracking window.
A qualifying purchase may be attributed to an affiliate when a customer uses the affiliate’s approved tracking link and completes an eligible purchase within 30 days.
Attribution is subject to the functionality and limitations of the affiliate tracking platform.
Midnight Molecule is not responsible for tracking failures caused by deleted or blocked cookies, browser privacy settings, device changes, ad blockers, or other circumstances outside our reasonable control.
Commission is earned only on legitimate, completed, and eligible orders.
Commission will not be paid on:
Midnight Molecule may reverse or withhold commission associated with an ineligible transaction.
Affiliate payouts are processed monthly.
A minimum earned commission balance of $50 is required for payout.
Balances below $50 will roll over to the following payout period until the minimum threshold is reached.
Affiliates are responsible for providing accurate payout and tax information.
Midnight Molecule may delay payment while investigating suspected fraud, policy violations, chargebacks, or attribution disputes.
Midnight Molecule products are sold strictly for lawful laboratory and in-vitro research purposes only.
Affiliates must not market, describe, demonstrate, or imply that Midnight Molecule products are intended for human or veterinary use.
Affiliates may not make claims or provide content involving:
Affiliates may not use coded language, euphemisms, imagery, hashtags, or indirect claims intended to circumvent these restrictions.
Affiliates must clearly disclose their material relationship with Midnight Molecule whenever promoting the brand or its products.
Disclosures must be easy to notice, easy to understand, and placed with the applicable promotional content.
Acceptable disclosures may include:
The disclosure may not be hidden solely in a profile biography, buried among hashtags, or placed where consumers are unlikely to see it.
FTC guidance requires material connections to be clearly and conspicuously disclosed and advises that disclosures accompany the endorsement itself.
Affiliates may use brand assets expressly provided or approved by Midnight Molecule solely for authorized Affiliate Program promotion.
Affiliates may not:
All Midnight Molecule trademarks, logos, branding, and creative assets remain the property of Midnight Molecule LLC.
Affiliates may not bid on or purchase advertising using the terms Midnight Molecule, Midnight Molecule product names, trademarks, or confusingly similar variations without prior written approval.
Affiliates may not run advertisements that impersonate Midnight Molecule or direct users through misleading links or claims.
Affiliates must comply with applicable advertising, email, privacy, and telecommunications laws.
Unsolicited bulk email, spam messaging, automated unsolicited direct messages, and deceptive promotional practices are prohibited.
Affiliates may not represent communications as being sent directly by Midnight Molecule.
Affiliates may promote only valid affiliate codes, discounts, or promotions authorized by Midnight Molecule.
Affiliates may not create unauthorized coupon codes or advertise expired, false, or misleading discounts.
Midnight Molecule may review publicly available affiliate content relating to the brand or its products.
Affiliates agree to promptly remove or correct content that Midnight Molecule determines violates these Affiliate Terms or creates legal, regulatory, or brand concerns.
Failure to comply with a removal or correction request may result in immediate suspension or termination.
Midnight Molecule may suspend or terminate an affiliate account at any time for:
Serious violations involving unauthorized human-use, medical, dosage, or therapeutic claims may result in immediate termination.
Commission associated with prohibited or fraudulent activity may be withheld or reversed to the extent permitted by law.
Affiliates are responsible for their own content, representations, taxes, business activities, and compliance with applicable laws and platform rules.
Affiliates may not bind Midnight Molecule to any agreement or make guarantees on behalf of Midnight Molecule.
Midnight Molecule may modify commission rates, tracking periods, payout thresholds, program requirements, or these Affiliate Terms.
Material changes may be communicated through the Affiliate Program platform, website, or affiliate contact information.
Continued participation following an update constitutes acceptance of the revised Affiliate Terms.
These Affiliate Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.
